These Terms of Service govern all engagements with The Spindle. By commissioning services, you acknowledge and agree to the terms outlined below.
1. Services and Scope
The Spindle provides professional content modernisation and digital learning refinement services.Defined Scope: All services are delivered in accordance with a written scope of work agreed prior to project commencement.Variations: Requests, revisions, or additions outside the agreed scope will be treated as a separate project or additional phase and quoted accordingly. Work will not proceed on out-of-scope items without written approval.
2. Fees and Payment Terms
Our pricing model is structured for transparency and certainty.Fixed-Price Basis: Fees are provided as a fixed-price quote aligned with the agreed scope.Payment Schedule
Unless otherwise specified in your quote:
50 percent commencement fee is required to secure your project slot
50 percent balance is payable prior to final delivery
Commencement: Project timelines begin once the commencement payment has cleared.
Late payments may delay delivery timelines.
3. Deliverables and Technical Formats
Standard Delivery: Modernised content is typically provided as SCORM packages optimised for LMS deployment, unless otherwise specified in writing.Source Files: Editable source files, including Articulate Rise content, are not included in standard delivery unless explicitly requested and priced as a separate line item within the agreed scope.
4. Intellectual Property
Client Materials: You retain full ownership of all original materials provided to The Spindle.Final Deliverables: Upon receipt of full payment, intellectual property rights for the final agreed deliverables transfer to the Client.The Spindle Intellectual Property: The Spindle retains ownership of its underlying methodologies, proprietary templates, internal processes, frameworks, and technical know-how used in the delivery of services.
5. Client Responsibilities
To support efficient and timely delivery, the Client agrees to:
Provide complete and accurate source materials at project commencement
Ensure subject matter accuracy and confirm legal or compliance interpretations
Provide consolidated, actionable feedback within agreed timeframes
The Spindle is not responsible for inaccuracies, omissions, or compliance risks contained within client-provided materials.
Delays in feedback or source material provision may result in timeline adjustments.
6. Liability and Performance
The Spindle performs all services with professional care and industry-standard skill.
The Client remains responsible for:
Business outcomes
Operational decisions
Legal interpretations
Regulatory compliance outcomes arising from the use of delivered materials
To the maximum extent permitted by law, liability is limited to the total fees paid for the relevant project.
7. Confidentiality and Termination
Confidentiality: Both parties agree to treat all shared materials and proprietary information as confidential and not disclose them to third parties without consent, except where required by law.Termination: Either party may terminate an engagement with written notice.In the event of termination:
Fees for work completed up to the termination date remain payable
Commencement fees are non-refundable
Any completed deliverables will be released upon payment of outstanding amounts

These Terms are governed by and construed in accordance with the laws of Australia.
